1. Acceptance of Terms By accessing or using MyBrandPitch ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use our services. These Terms constitute a legally binding agreement between you and MyBrandPitch.

2. Eligibility: You must be at least 18 years old to use this Platform. By registering, you represent that you have the legal capacity to enter into a binding contract. If you are registering on behalf of a legal entity (e.g., a Startup or VC Firm), you represent that you have the authority to bind that entity to these Terms.

3. User Accounts & Security

• Registration: You agree to provide accurate, current, and complete information during registration.

• Google Sign-In: Users may register using Google Sign-In. You are responsible for maintaining the security of your Google credentials.

• Account Responsibility: You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Platform Services & Roles

A. For Startups (Founders)

• Accuracy: You warrant that all information provided in your profile, pitch decks, and financial metrics is accurate, truthful, and not misleading.

• No Guarantee of Funding: MyBrandPitch provides visibility and tools; we do not guarantee that you will receive funding, interviews, or mentorship.

• Updates: You agree to keep your "Signals" (traction, revenue) updated to ensure investors see current data.

B. For Investors

• Self-Certification: By registering as an Investor, you represent that you are an accredited investor, angel investor, or authorized representative of a venture capital fund/institution as defined under applicable laws.

• Confidentiality: You agree to keep all non-public information (e.g., Pitch Decks, Cap Tables) viewed on the Platform strictly confidential. You may not share, distribute, or use this information for any purpose other than evaluating an investment.

• Due Diligence: MyBrandPitch performs a preliminary "Readiness Check" but does not conduct forensic financial or legal due diligence. You are solely responsible for conducting your own due diligence before investing.

5. Fees and Payments

• Subscription: Certain features (e.g., premium profile listings, advanced filtering) are available via paid subscription.

• No Commission: MyBrandPitch does not charge a success fee or commission on capital raised.

• Payment Terms: Fees are billed in advance. Payment obligations are non-cancelable and fees paid are non-refundable, except as expressly provided in our Refund Policy.

6. Intellectual Property Rights

• Platform Content: The MyBrandPitch website, code, design, logos, and algorithms are the intellectual property of MyBrandPitch and are protected by copyright laws.

• User Content: You retain full ownership of the content (Pitch Decks, Logos, Videos) you upload.

• License: By uploading content, you grant MyBrandPitch a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your "Public Profile" data for the purpose of operating the Platform (e.g., showing your startup to investors). We will never sell your proprietary data.

  
  

7. Prohibited Conduct You agree not to:

• Use the Platform for any illegal purpose.

• Harass, abuse, or harm another person or group.

• Scrape, crawl, or harvest data from the Platform without permission.

• Upload viruses or malicious code.

• Misrepresent your identity or affiliation.

8. Disclaimers

• No Financial Advice: MyBrandPitch is a technology platform, not a registered broker-dealer or investment advisor. Content on the Platform does not constitute investment advice or a recommendation to buy/sell securities.

• "As Is" Basis: The Platform is provided on an "as is" and "as available" basis without warranties of any kind.

9. Limitation of Liability To the maximum extent permitted by law, MyBrandPitch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use of the Platform. Our total liability shall not exceed the amount you have paid us in the past 12 months.

10. Termination We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

11. Governing Law & Jurisdiction These Terms shall be governed by the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Bhubaneswar, Odisha.
